Terms governing participation, compliance, and brand-aligned retail operations within the Retail Stride verified network.

1. Agreement Overview

This Retailer Agreement (“Agreement”) is made between Retail Stride LLC (“Retail Stride”) and the approved retailer (“Retailer”) for participation in the Retail Stride verified network. By signing this Agreement, the Retailer agrees to uphold the compliance, brand protection, and operational standards administered by Retail Stride.

2. Purpose

Retail Stride operates as a brand-authorized distributor serving verified brick-and-mortar retailers. Our mission is to provide small and mid-sized independent stores with controlled access to national brands while protecting brand integrity and channel alignment across every market we serve.

3. Eligibility Requirements

To qualify for participation, Retailers must:

  • Maintain an active brick-and-mortar storefront with a verifiable address and business license.
  • Provide a valid resale certificate and applicable tax identification.
  • Operate under a consistent business name across all submitted documentation.
  • Maintain compliance with Retail Stride’s MAP & Channel Policy.

Retailers selling exclusively online are not eligible without written authorization.

4. Authorized Sales Channels

Retailer May Sell Through

  • Their own physical storefronts operated under the approved business name.
  • Their official business website when specifically approved in writing by Retail Stride.

Retailer May Not

  • List or sell products on third-party marketplaces (Amazon, Walmart, eBay, etc.).
  • Transfer, wholesale, or resell goods to any unauthorized third party.
  • Represent themselves as an authorized distributor or wholesaler on behalf of Retail Stride.

Retail Stride reserves the right to audit listings and sales activity to ensure channel compliance.

5. MAP & Brand Compliance

Retailer agrees to:

  • Adhere to all Minimum Advertised Price (MAP) policies provided by Retail Stride and its brand partners.
  • Maintain brand presentation consistent with approved marketing materials and assets.
  • Promptly correct or remove any listings that deviate from published compliance standards.

Violations of MAP or brand presentation requirements may result in suspension or termination from the Retail Stride network.

6. Ordering & Fulfillment

  • All purchase orders are subject to Retail Stride’s acceptance and available inventory.
  • Payment terms, freight policies, and return conditions follow Retail Stride’s standard operating terms.
  • Retailer is responsible for proper handling and in-store presentation of received goods.

Retail Stride may update order minimums, freight thresholds, or fulfillment processes with reasonable notice.

7. Termination

Either party may terminate this Agreement at any time with written notice. Retail Stride reserves the right to immediately revoke participation in the event of:

  • MAP, channel, or eligibility violations.
  • Misrepresentation of business operations or documentation.
  • Non-payment, chargebacks, or unresolved invoices.
  • Actions that harm Retail Stride or its brand partners.

Upon termination, Retailer must discontinue all use of Retail Stride materials, logos, and brand assets.

By signing below, the Retailer acknowledges that they have read, understood, and agree to abide by this Agreement and the accompanying MAP & Channel Policy.
